Terms of Service.

1. The service

ChaseDesk is a software-as-a-service product that helps bookkeeping firms (“Firms”) collect financial documents from their small-business clients (“SMB Clients”), extract structured data from those documents using AI, and post the resulting records to a connected ledger such as Xero.

2. Eligibility & accounts

• You must be at least 18 years old and capable of entering into a binding contract.
• You agree to provide accurate account information and to keep it up to date.
• You are responsible for safeguarding your authentication credentials and for all activity under your account.
• You must promptly notify us at security@chasedesk.io of any unauthorized access.

3. Free trial

New accounts include a 14-day free trial with full Pro-level features and up to 5 connected Xero clients. No credit card is required to start. If you do not subscribe before the trial ends, your account moves to read only mode automatically. No charge, nothing to cancel.

4. Subscriptions, fees & billing

• Subscription fees are described on our Pricing page and are billed via Stripe.
• Monthly plans are billed at the start of each 30-day cycle. Annual plans are billed as a single upfront payment for 12 months.
• Document overage charges (above your plan’s per-client cap) are billed at the rate published on the Pricing page and added to your next invoice.
• All fees are exclusive of taxes; you are responsible for any applicable VAT, GST, or sales tax.
• Refund eligibility is governed by our Refund Policy, which is incorporated into these Terms.

5. Plan changes & cancellation

Upgrades take effect immediately and are prorated. Downgrades take effect at the next renewal. You can cancel at any time from your account settings; access continues to the end of the period you have paid for, and no further charges are made.

6. Acceptable use

You agree not to:

• Use ChaseDesk to send unsolicited marketing or to message recipients with whom you have no legitimate bookkeeping engagement.
• Upload content you do not have the right to upload or that infringes the rights of others.
• Attempt to circumvent multi-tenancy isolation, rate limits, or security controls.
• Reverse-engineer, decompile, or scrape the service except as permitted by law.
• Use the service to facilitate unlawful activity or to violate any applicable law, including anti-spam and consumer-protection laws.

We may suspend or terminate accounts that materially breach these rules.

7. Your data

• You retain ownership of all data you upload or sync to ChaseDesk (“Customer Data”).
• You grant Hollerlabs a worldwide, non-exclusive, royalty-free license to host, process, and transmit Customer Data solely as needed to operate the service for you and to comply with our legal obligations.
• You are responsible for the accuracy and lawfulness of data you push into your connected ledger via ChaseDesk, and for reviewing AI-suggested categorizations before close.
• Our handling of personal data is described in our Privacy Policy.

8. AI features & outputs

ChaseDesk uses third-party AI services to extract and categorize document data. AI outputs are probabilistic and may contain errors. You acknowledge that:

• You are responsible for reviewing AI-suggested categorizations and other outputs before relying on them for accounting, tax, or compliance purposes.
• ChaseDesk applies confidence thresholds and routes low-confidence items to a review queue, but this does not replace professional judgment.
• We do not guarantee that AI outputs will be accurate, complete, or fit for any particular purpose.

9. Third-party services

ChaseDesk connects to third-party services (Xero, Stripe, Postmark, Twilio, and others). Your use of those services is governed by their own terms. Connection failures, rate limits, or outages on those services may affect ChaseDesk functionality; we are not responsible for them but will work in good faith to route around them.

10. Intellectual property

ChaseDesk, including its software, design, brand, and documentation, is owned by Hollerlabs and protected by intellectual-property laws. We grant you a limited, revocable, non-transferable right to use the service for your internal business purposes during your subscription. No other rights are granted by implication.

11. Confidentiality

Each party agrees to protect the other party’s confidential information with at least the same degree of care it uses for its own confidential information, and in no event less than reasonable care. Customer Data is your confidential information.

12. Warranty disclaimer

ChaseDesk is provided “as is” and “as available”. To the maximum extent permitted by law, Hollerlabs disclaims all warranties, whether express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

13. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities. Our aggregate liability for any claim arising out of or relating to these Terms or the service is limited to the fees you paid to Hollerlabs in the 12 months preceding the event giving rise to the claim.

14. Indemnification

You will defend, indemnify, and hold harmless Hollerlabs from any third-party claim arising out of (a) your Customer Data, (b) your use of the service in breach of these Terms, or (c) your violation of applicable law.

15. Suspension & termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or expose the service or other users to legal or operational risk. We may also discontinue the service entirely; in that case, we will provide reasonable notice and a prorated refund of any prepaid annual fees for the unused portion of your subscription.

On termination, your right to use the service ends. We will retain your data for 30 days so you can export it, then delete it (subject to backup-rotation timelines and legal-retention obligations).

16. Changes to the service or these Terms

We may update the service and these Terms over time. Material changes to the Terms will be announced by email to account owners at least 30 days in advance and posted here. Continued use after the effective date of a change constitutes acceptance.

17. Governing law & disputes

These Terms are governed by the laws of India. The courts of Bangalore, Karnataka have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual-property rights.

18. Miscellaneous

• These Terms are the entire agreement between you and Hollerlabs with respect to the service.
• If any provision is held unenforceable, the remaining provisions remain in full force and effect.
• Failure to enforce a provision is not a waiver of our right to do so later.
• You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of substantially all of our assets.
